Welcome to the website of FP Operations Ltd., doing business as FirmPay (“FirmPay”, “we”, “us”, or “our”). These Website Terms of Use (“Terms”) govern your access to and use of (firmpayfx.com] (the “Site”).

Important: These Terms apply only to your use of the Site and its public content. All foreign exchange, payment, and related services offered by FirmPay (the “Services”) are provided only to approved clients and are subject to a separate Client Service Agreement (“CSA”) and formal onboarding, including identity verification and other compliance requirements.

By accessing or using the Site, you agree to these Terms.

Who We Are and Regulatory Disclosure

FirmPay is a Canadian-based foreign exchange and payment services provider. We are committed to transparency and regulatory compliance:
FINTRAC: Registered as a Money Services Business (MSB No. C100000306).

Bank of Canada (RPAA): Registered as a payment service provider under the Retail Payment Activities Act (Entity ID: RPS0002273).

Nature of Business: FirmPay is not a bank, trust company, or deposit-taking institution. We do not provide investment advice, and we do not offer interest-bearing accounts on the Site.

2. Site Use Only; Services Governed by the CSA

The Site is provided for informational purposes and general business communications.

  • No Services via the Site: You may not use the Site to initiate, submit, or complete any transaction unless and until you have completed onboarding and executed a CSA.
  • CSA Controls: If you become a client, the CSA (and any related documents) governs the Services, including transaction terms, fees, disclosures, and safeguarding details, and will prevail over these Terms in respect of Services.

3. No Advice; Information Only

The content on this Site is provided for general informational purposes only.

  • No Reliance: Nothing on this Site constitutes legal, tax, investment, financial, or other professional advice.
  • Indicative Information: Any market data, exchange-rate references, commentary, or tools displayed on the Site are indicative only, may be delayed, and do not constitute a firm quote, offer, or guarantee of future performance.

4. Safeguarding of Funds (RPAA Disclosure)

Where FirmPay holds end-user funds in connection with the Services (such funds, “Held Funds”), FirmPay safeguards Held Funds in accordance with the RPAA using a permitted safeguarding method, which may include one or more of the following (as applicable):

  • holding funds in trust in a segregated safeguarding account; and/or
  • maintaining insurance or a guarantee (or other method permitted under applicable law).

No Deposit Insurance: Held Funds are not bank deposits and are not insured by deposit insurance regimes (including CDIC).

5. Intellectual Property

All content on this Site—including logos, trademarks, text, graphics, designs, audio/video, software, code, and the Site’s “look and feel”—is owned by or licensed to FirmPay and is protected by Canadian and international intellectual property laws.

You may view and print pages from the Site for your internal, non-commercial use only. You may not copy, reproduce, republish, scrape, distribute, transmit, reverse engineer, or exploit any Site content without FirmPay’s express written permission.

6. Prohibited Use

You agree not to use the Site to:

  • upload, transmit, or introduce viruses, malware, or other harmful code;
  • attempt to gain unauthorized access to any systems, accounts, or non-public areas of the Site;
  • probe, scan, or test the vulnerability of the Site or any related systems;
  • scrape, crawl, harvest, or use automated means to access the Site except as expressly permitted in writing;
  • use the Site for any unlawful purpose or in violation of applicable federal or provincial laws; or
  • impersonate any person or misrepresent your affiliation with any person or entity.

We may suspend or block access to the Site if we believe, acting reasonably, that you have violated these Terms or pose a security, legal, or operational risk.

You may terminate these Terms at any time by ceasing to access or use the Site.

7. Third-Party Links

The Site may include links to third-party websites (including regulators, news outlets, or partner resources). FirmPay does not control those sites and is not responsible for their content, security, availability, or privacy practices. Accessing third-party sites is at your own risk.

8. Disclaimers (As-Is; As-Available)

To the maximum extent permitted by law, the Site and its content are provided “as is” and “as available”. FirmPay makes no representations or warranties of any kind, express or implied, including implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, timely, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law:

  • FirmPay will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of (or inability to use) the Site, including loss of profits, revenue, data, goodwill, or business interruption, even if advised of the possibility of such damages.
  • FirmPay will not be liable for damages caused by events outside our reasonable control, including outages, cyberattacks, system failures, telecommunications failures, or third-party acts or omissions.
  • Aggregate Cap: FirmPay’s total aggregate liability for direct damages arising out of or relating to the Site or these Terms will not exceed the greater of (i) CAD $100 and (ii) the amount you paid, if any, for access to the Site.

Nothing in these Terms limits liability where such limitation is not permitted by applicable law.

10. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FirmPay and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

(a) your breach of these Terms; 

(b) your misuse of the Site; or 

(c) your violation of any law or the rights of a third party.

11. Privacy

12. Electronic Communications

By using the Site and/or contacting us electronically, you consent to receive communications from FirmPay electronically (including by email and via notices posted on the Site), unless applicable law requires a different method.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our practices, or legal/regulatory requirements. The “Last Updated” date above indicates when these Terms were last revised. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute relating to the Site or these Terms will be brought exclusively in the courts located in Toronto, Ontario, and you attorn to their jurisdiction.

15. Severability and Entire Agreement

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and FirmPay regarding your use of the Site and supersede any prior or contemporaneous understandings regarding the Site. For Services, the CSA governs.
